Terms of use.

Who and what

These terms are an agreement between you and Ga^3in Ventures LLC ("Ga^3in VC", "we"), 1178 Broadway, 3rd Floor #3286, New York, NY 10001. They cover gain.ventures, the member portal, the founder portal, the judge bench, OpenGa^3in, our events and our emails. By using any of them, or by ticking "I agree", you accept these terms and our privacy policy. If you do not agree, please do not use them.

Not an offer, not advice

Nothing on our site, portals, emails or events is an offer to sell or a solicitation to buy any security, or investment, legal or tax advice. Investments are offered only through the subscription documents for each vehicle, one company per vehicle, to investors who qualify, and those documents govern. Private company investments are illiquid and can lose all their value. Talk to your own advisers before you invest.

Members

Confidentiality. What we share with members (companies, allocations, prices, terms, memos, marks, statements and pipeline) is confidential. Use it only to decide on your own participation. Do not forward, publish or share it, except with your own professional advisers who keep it confidential.

Marks and figures. Marks, values and returns shown in the portal are indicative, unaudited estimates under our stated policy. They are not valuations for any legal, tax or accounting purpose, they can change without notice, and they may differ from what is finally realized.

Membership. Fees, renewal and cancellation follow the membership terms. Membership is personal to you and admission is at our discretion. We may end a membership that breaches these terms.

Founders

When you apply to pitch or use the founder portal, you confirm that what you submit is accurate and that you have the right to share it. You allow us to review it, use AI tools to summarize it, and share it with our judges, members and partners to evaluate your company. Like most investors, we do not sign confidentiality agreements for applications, and we may review companies similar to yours. Do not send anything you need kept secret. Selection, prizes and any investment are at our discretion and are never promised by an application.

Judges and the investor bench

When you apply to the bench, you allow us to publish your name, title, organization, bio and photo in judge announcements and on our site. You confirm you have the right to the photo you upload. Tell us about any conflict of interest with a company you score. What you learn about founders as a judge is confidential.

OpenGa^3in

OpenGa^3in is also governed by its own terms and data handling pages, which take priority for that service.

Using our services

Keep your sign-in links and codes to yourself; activity under them is treated as yours. Do not misuse the services: no scraping, no attempts to access other people's data, no interfering with security, no unlawful or misleading content. Content and branding on the site belong to us or our licensors; you get a personal right to use them for the purposes above.

Our responsibility

We work to keep the services accurate and available, but they are provided as they are, without warranties. To the extent the law allows, we are not liable for indirect or consequential losses, or for decisions you make based on information in the services, and our total liability relating to the services is limited to the membership fees you paid us in the twelve months before the claim. Nothing here limits liability that cannot be limited by law.

Law and changes

These terms are governed by the laws of the State of New York, and disputes go to the state and federal courts in New York County, New York. We may update these terms; the version and date at the top always show the current one, and we will ask you to accept material changes. Questions: .
